Terms of Service
Effective Date: April 2026
1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the National Home Alliance platform, including our mobile application, website at NationalHomeAlliance.com, and related services (the "Service") operated by National Home Alliance LLC ("NHA", "we", "us"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
PLEASE READ CAREFULLY. SECTION 16 CONTAINS A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.
2. Eligibility
- You must be at least 18 years old
- You must own or be authorized to represent a legitimate home services business
- You must have all licenses, insurance, and certifications required for your trade in your jurisdiction
- You must not have been previously removed from the Service for violating these Terms
3. Membership and Categories
NHA operates as a category-exclusive referral network. Each local alliance limits membership to one business per trade category at a time. Acceptance into the network is at NHA's sole discretion. Membership is not guaranteed and may be revoked for violation of these Terms or the NHA Code of Conduct.
4. Subscription and Billing
4.1 Pricing
Membership requires a monthly subscription fee. Current pricing is shown at the time of enrollment and may include founding-member, standard, and premium tiers based on alliance size. Pricing is subject to change with 30 days' notice.
4.2 Auto-Renewal
Subscriptions automatically renew each billing period until cancelled. You authorize NHA to charge your payment method on file.
4.3 Cancellation
You may cancel at any time via in-app account settings or by emailing support@NationalHomeAlliance.com. Cancellation takes effect at the end of the current billing period. NHA does not provide refunds for partial months except where required by law.
4.4 Failed Payments
If a payment fails, NHA will attempt to retry the charge. If payment cannot be collected within 14 days, your account may be suspended.
5. Member Conduct and Code of Conduct
As a member, you agree to:
- Honor referrals received through the Service in good faith
- Respond to referrals within a reasonable timeframe (target: 24 hours)
- Provide quality service that reflects positively on NHA and other members
- Maintain accurate business information including license status and insurance
- Treat other members, customers, and NHA staff with professionalism and respect
- Comply with all applicable laws and regulations
You agree NOT to:
- Misrepresent your business, credentials, or services
- Solicit other members for non-NHA business ventures without permission
- Use the Service for any unlawful, fraudulent, or harmful purpose
- Upload content that is defamatory, obscene, infringing, or otherwise inappropriate
- Attempt to reverse engineer, scrape, or interfere with the Service
- Share account credentials with non-members
6. Referrals and No Guarantee
NHA facilitates connections between members but does not guarantee any specific number, quality, or value of referrals. Referrals are between members and customers; NHA is not a party to any transaction, contract, or service agreement that results from a referral. NHA bears no responsibility for the work performed, payment, disputes, or any consequences arising from referrals.
7. User Content
You retain ownership of content you submit to the Service (photos, videos, reviews, spotlights, messages — "User Content"). By submitting User Content, you grant NHA a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, store, reproduce, modify, distribute, and display that content for the purpose of operating, marketing, and promoting the Service and the network. You represent that you own or have all necessary rights to the User Content you submit.
8. Member Spotlights
As part of the Service, you may be featured in a Member Spotlight that includes your business information, A-Score, photos, and an AI-generated narrative. By participating, you authorize NHA and your local Alliance Ambassador to publish and distribute your spotlight to other members and via social channels. You may decline to participate or request removal of a published spotlight by contacting support.
9. Intellectual Property
The Service, including all software, designs, text, graphics, logos, and the National Home Alliance name and brand, is owned by NHA and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service solely for its intended purpose. All other rights are reserved.
10. Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference.
11. Third-Party Services
The Service relies on third-party providers including Supabase, GoHighLevel, Stripe, Twilio, OpenAI, Apple, and Google. NHA is not responsible for the acts, omissions, or policies of these providers.
12. Termination
NHA may suspend or terminate your account at any time for violation of these Terms, the Code of Conduct, non-payment, or for any reason at NHA's discretion. Upon termination, your access to the Service will cease and you will no longer receive referrals. NHA is not liable for any losses resulting from termination.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NHA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. NHA MAKES NO WARRANTY REGARDING THE QUALITY, SAFETY, OR LEGALITY OF SERVICES PROVIDED BY MEMBERS.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NHA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE. NHA'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO NHA IN THE SIX MONTHS PRECEDING THE CLAIM.
15. Indemnification
You agree to indemnify, defend, and hold harmless NHA from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) services you provide to customers as a result of referrals.
16. Dispute Resolution and Arbitration
Any dispute arising out of or related to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in Colorado. YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION. Either party may seek injunctive relief in court for intellectual property infringement.
17. Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles.
18. Changes to These Terms
NHA may modify these Terms at any time. Material changes will be communicated via in-app notice or email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
19. Miscellaneous
- Entire Agreement: these Terms and the Privacy Policy constitute the entire agreement between you and NHA
- Severability: if any provision is held unenforceable, the remaining provisions remain in effect
- No Waiver: NHA's failure to enforce any right or provision is not a waiver of that right
- Assignment: you may not assign these Terms without NHA's consent; NHA may assign freely
